In addition, 85 percent of the outstanding shares voted to increase the number of shares of common stock authorized by 5 million shares bringing the total number of common stock authorized up from 22 million to 27 million shares.  Potential uses, as noted in the proxy,  include possible issuance to investors in Japan and for financial and other general corporate purposes.  The shareholders also ratified the appointment of McGladrey & Pullen LLP as the Company’s independent auditors.

Highlights of the meeting included a review of the launch of the Female Condom (Myfemy) in Japan, which occurred on April 24, 2000.  The launch was well executed and the initial response quite positive.  Promotional materials from the launch of the Female Condom in Japan and Japanese product packages were available for inspection by shareholders.

In addition, a program guide titled “The Female Condom: A Guide for Planning and Programming” for use in implementing female condom programs in developing countries was introduced for the first time.  Based on real experience, the guide was developed in conjunction with the World Health Organization (WHO) and the Joint United Nations Program on HIV/AIDS (UNAIDS).  The guide emphasizes the importance of the female condom, outlines strategic steps to introduce and integrate it into reproductive health programs and underscores the worldwide support of the female condom on behalf of WHO and UNAIDS.  The guide will be featured at the Durban 2000 International AIDS Conference this July in South Africa and used to accelerate the availability of the female condom in developing countries.

The Female Health Company, based in Chicago, owns certain worldwide rights to the Female Condom including patents which have been issued in the United States, United Kingdom, Japan, France, Italy, Germany, Spain, The People’s Republic of China, Canada, New Zealand, South Korea and Australia.  The Female Condom is the only available product controlled by a woman that protects against sexually transmitted diseases including HIV/AIDS and unintended pregnancy.
